Woburn Sands Business Association Rules
1.1 The name of the Association is Woburn Sands Business Association.
- AIMS & OBJECTIVES
The Association is formed:
2.1 To achieve a stronger voice for the Woburn Sands business community.
2.2 To strengthen business links within Woburn Sands.
2.3 To help promote Woburn Sands as a business opportunity.
2.4 To encourage local businesses and to support collective/partnership organisations in and around Woburn Sands where this furthers these aims and objectives.
3.1 The Association may consist of an unlimited number of members who have a business interest in Woburn Sands and the immediate surrounding areas.
- OFFICERS AND COMMITTEE
4.1 The officers of the Association are a Chairman, a Treasurer, and a Secretary.
4.2 The Committee of the Association (not to exceed 10 persons in number) consists of the officers and any other members elected by the Association, all positions are held voluntarily and are unpaid.
4.3 The Committee must be elected by ballot at the first General Meeting of each accounting year.
4.4 The Committee hold office or serve until the first General Meeting of the following accounting year when they must retire.
4.5 The members of the Committee are eligible for re-election from year to year.
4.6 Three members of the Committee form a quorum.
- ELECTION OF COMMITTEE
5.1 Any two members of the Association may nominate a member to hold office and/serve on the Committee.
5.2 Each member present at the first General Meeting of the accounting year may vote for any number of candidates not exceeding the number of vacancies.
5.4 If insufficient candidates are nominated the Committee may fill up the vacancies.
5.5 If two or more candidates obtain an equal number of votes the Committee must select from them the candidate or candidates to be members of the Committee.
- CASUAL VACANCY
6.1 Any casual vacancy on the Committee may be filled by the Committee and such person appointed will remain in office until the first general Meeting of the next accounting year but may then stand again for election.
- POWERS OF THE COMMITTEE
7.1 The Committee has all the powers necessary to carry out the objects of the Association save those specifically reserved to the Association in these rules.
7.2 The Committee may not commit the Association to any expenditure before ensuring that it has sufficient funds to meet such expenditure.
- DUTIES OF SECRETARY
8.1 The Secretary shall keep full minutes of all proceedings of the Association and full records as to the membership of the Association.
- DUTIES OF THE TREASURER – ACCOUNTS AND CHEQUES
10.1 The Treasurer must keep the accounts of the Association and must make up an annual statement of accounts and balance sheet (if appropriate) of the Association and shall present the same to the members at the first General Meeting in each accounting year.
10.2 If the Committee so requires the accounts shall be audited by such persons as the Committee shall determine and any such audited accounts shall be available for inspection by the members in such manner as the Committee shall determine.
10.3 Any cheques drawn on any bank account opened in the name of the Association shall require the signature of a Committee member a mandate authorising Committee members authorised to sign shall be lodged with the appointed bankers.
- CHAIRMAN’S CASTING VOTE
11.1 The Chairman shall enjoy a casting vote at any Committee Meeting or General Meeting of the Association.
- MEMBERSHIP & SUBSCRIPTION AND ADDITIONAL SUBSCRIPTION
12.1 The membership shall begin on 1st January in each year.
12.2 No member may vote or be involved in the Association until he has paid the annual subscription or any additional subscription.
12.3 All annual subscriptions shall be payable in advance on the 1st January in each year.
12.4 Not more than two persons from any one business, firm, company or partnership shall be members of the Association.
12.5 Members joining during the membership year will pay the full subscription unless the Committee otherwise determines.
12.6 Additional subscription may be sought from members in any membership year to finance particular projects.
13.1 A member may resign his membership of the Association at any time giving notice in writing to the Membership Secretary.
14.1 A member maybe expelled from the Association if two thirds of the Committee so determines provided that the membership does not in a General Meeting override the Committee.
- FORFEITURE OF RIGHTS ON CESSATION OF MEMBERSHIP
15.1 Any member who ceased to be a member of the Association for whatever reason is not entitled to any return of subscription.
- GENERAL MEETING
16.1 A General Meeting of the Association shall be held at least once during each membership year at such time and place as the Committee shall determine.
16.2 The Committee may call a General Meeting at any time and must do so on receiving written requisition signed by five members.
- ACCOUNTING PERIOD
17.1 The accounting period shall be annual commencing on 1st January in each calendar year.
- NOTICE OF MEETING AND QUORUM
18.1 At least 14 days written notice shall be given of any General Meeting specifying the business to be transacted and the day, place and hour of the meeting. Such notice to be sent to the addresses as recorded in the Membership Secretary records.
18.2 Six members of the Association from a quorum at a General Meeting.
- ALTERATION OF RULES
19.1 The rules may not be altered other than by the Association in General Meeting.
- MEMBERS BOUND BY RULES
20.1 Every member is bound by and shall submit to the rules of the Association.
21.1 If at a General Meeting a resolution of which notice has been given for the dissolution of the Association is passed by two thirds of the members present the Committee shall immediately, or at such time as may be specified in the resolution, proceed to realise all or any property of the Association and after discharge of any liabilities shall pay any remaining funds to such local charity as the Committee shall determine.
